1. Agreement to Terms
By accessing or using Build This Now ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. The Platform is operated by Kairo Ventures, a company registered in a free zone in Dubai, United Arab Emirates.
2. Description of Service
Build This Now offers two products for software developers and founders. The Code Kit is a complete AI orchestration framework for Claude Code β source code, starter files, templates, AI coding prompts, architecture documents, and a step-by-step build plan that lets you describe what you want built and watch agents ship it. The Desktop App is a native UI application providing a mission-control dashboard for AI-assisted building β letting you see every line of code as agents write it and manage multiple projects simultaneously. Some content is available for free; full products require a one-time purchase.
3. Eligibility
You must be at least 18 years old to use the Platform. By creating an account, you represent that the information you provide is accurate and that you have the legal capacity to enter into these Terms.
4. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Purchases and Payments
5.1 Pricing
Build kits are sold as one-time purchases. Prices are displayed in USD and are inclusive of any applicable fees unless otherwise stated. We reserve the right to change pricing at any time; existing purchases are not affected.
5.2 Payment Processing
Payments are processed through a secure third-party payment provider. We do not store your full payment card details on our servers. By completing a purchase, you agree to the payment provider's terms of service.
5.3 Refund Policy
Because build kits are digital products delivered immediately upon purchase, all sales are final. We do not offer refunds once a kit has been unlocked and its content made available to you. If you experience a technical issue preventing access to purchased content, contact us at hugues@topr.io and we will resolve the issue.
If you are a consumer resident in the European Union or United Kingdom, you have a statutory right to withdraw from this contract within 14 days of purchase without giving any reason. However, by completing the purchase and accessing the kit content, you expressly request immediate performance of the contract and acknowledge that you lose your right of withdrawal once the digital content has been made fully available to you. By confirming your purchase, you consent to this waiver. This does not affect any other statutory rights you may have under applicable mandatory consumer protection law.
6. Intellectual Property & Source Code License
6.1 Ownership
All content on the Platform β including but not limited to source code, repositories, build plans, prompts, architecture documents, market research, starter files, templates, frameworks, designs, and copy β is owned by Build This Now (Kairo Ventures) and protected by intellectual property laws.
6.2 What You Actually Bought
When you complete a purchase, you do not buy the source code. You buy a perpetual, personal, non-exclusive, non-transferable license to use it. Kairo Ventures retains full copyright ownership of all source code, templates, prompts, architecture documents, and content at all times. This is how most professional software works β when you buy a game, an app, or a software tool, you license it. You do not own it. The same applies here. The source code is licensed, not sold. What you do own, completely and permanently, is anything you build and ship using it β your product, your business, your customers. That is yours. The source code that powered it is not.
6.3 What You Can Do
- Use the source code to build and launch your own SaaS products, applications, and businesses
- Modify, extend, and adapt the source code for your own projects
- Deploy and run software you build using the source code commercially β including charging customers
- Keep using what you built forever β your license is perpetual and does not expire
- Sell the products and services you build using the source code β you own what you build you own what you build
6.4 What You Cannot Do
- Resell the source code β you may not sell, license, sublicense, or offer the source code (in whole or in part) as a template, boilerplate, starter kit, framework, course material, or any other product
- Redistribute the source code β you may not share, give away, publish, or otherwise make the source code available to any third party who has not purchased their own license
- Publish the source code on any public repository (GitHub, GitLab, Bitbucket, etc.), marketplace, file-sharing platform, torrent site, or any publicly accessible location
- Create derivative products based on the source code for sale β you may not rebrand, white-label, or repackage the source code itself as a competing product
- Share with others you may not share the source code with team members, colleagues, friends, or any other person. Each user must purchase their own license
- Share access credentials you may not share your account, download links, or repository access with anyone
6.5 Enforcement
immediate and automatic termination Violation of any restriction in this section constitutes a material breach of these Terms and results in immediate and automatic termination of your license. Upon termination, you must destroy all copies of the source code in your possession. We reserve the right to pursue legal action and seek damages, including but not limited to lost revenue, statutory damages, and legal fees. We may use technical measures to detect unauthorized distribution of our source code.
7. Acceptable Use
You agree not to:
- Share, resell, redistribute, or publish purchased source code or content to any third party
- Upload the source code to any public repository, marketplace, or file-sharing platform
- Use the source code to create a competing template, framework, or boilerplate product
- Share your account credentials, download links, or repository access with unauthorized parties
- Use automated tools to scrape, crawl, or bulk-download content from the Platform
- Attempt to gain unauthorized access to other users' accounts or our systems
- Use the Platform for any unlawful purpose or in violation of applicable laws
- Circumvent or interfere with any security or access-control features of the Platform
8. Disclaimers
8.1 No Guarantee of Results
Build kits are educational and instructional in nature. We provide validated ideas and structured build plans, but we do not guarantee any specific business outcome, revenue, or success. Results depend on your execution, market conditions, and many factors outside our control.
8.2 No Warranties
The Platform and all products β including build kits, source code, starter files, templates, prompts, and architecture documents β are provided as-is and as-available. We do not make any guarantees about them. Specifically, we do not warrant that any kit, code, or content: (a) is free of errors or will run without interruption; (b) complies with any specific law or regulation, including GDPR, UAE PDPL, or CCPA; (c) is ready for production deployment without your own review and testing; or (d) will produce any particular business or technical result. You are responsible for reviewing, testing, and operating anything you build or deploy using Platform products.
8.3 Third-Party Tools
Build kits may reference third-party tools, services, and APIs. We are not responsible for the availability, pricing, or terms of third-party services. You are responsible for complying with any third-party terms when using those tools.
8.4 Code Security
The source code, templates, starter files, build kits, desktop application software, and all other product deliverables provided by the Platform are designed to help you build and ship software quickly. We do not warrant, represent, or guarantee that any code, template, starter file, build kit, application binary, or other deliverable is free from security vulnerabilities, supply chain risks, outdated dependencies, or software defects of any kind. Security is your sole responsibility as the developer or operator who reviews, deploys, maintains, and operates any software you build or use. The Platform provides built-in tooling β including security audit, dependency audit, and monitoring features β that we strongly recommend running before any production deployment. Use of these tools does not constitute a guarantee that your application is secure, and does not transfer any security responsibility to us. Build This Now shall not be liable for any security breach, unauthorized access, data exposure, supply chain compromise, or damages of any kind resulting from vulnerabilities in any product, code, or software obtained from the Platform or deployed by you.
8.5 Regulatory Compliance
All Platform products β including the Code Kit and the Desktop App β may contain or interact with code that, when deployed or used, collects, processes, or stores personal data. We do not represent that any product, code, template, starter file, application, or content satisfies the requirements of any data protection, privacy, cybersecurity, financial, healthcare, consumer protection, or other regulatory regime applicable to you or to the products you build or operate, including without limitation GDPR, UAE PDPL, CCPA/CPRA, HIPAA, PCI DSS, or any equivalent law. You are solely responsible for ensuring that your use and deployment of any Platform product complies with all applicable laws and regulations in every jurisdiction where you operate or where your users are located. We expressly disclaim any representation that any Platform product constitutes a legally compliant solution for any jurisdiction or use case.
8.6 Open Source Components and Dependencies
All Platform products may incorporate open-source software licensed under various terms, including MIT, Apache 2.0, BSD, LGPL, or other licenses. A dependency manifest (e.g., package.json) is included where applicable. You are responsible for reviewing and complying with all third-party license terms applicable to components included in or referenced by any product. We do not warrant that all open-source components are identified, that any dependency manifest is complete, or that any component is free from license compliance obligations that may affect your downstream products. We disclaim any warranty of non-infringement with respect to third-party open-source components. Dependencies are provided at the version current at the time of product publication. We have no obligation to update, patch, or republish products to incorporate updated dependency versions. You are responsible for updating dependencies in your deployed products.
8.7 AI-Generated Content
Portions of the source code, prompts, architecture documents, UI components, and other content included in Platform products may have been generated or assisted by artificial intelligence tools. We assert copyright ownership over product content to the maximum extent permitted by applicable law; however, you acknowledge that copyright protection for AI-generated content is uncertain and varies by jurisdiction. We make no warranty that AI-generated content is original, non-infringing, or that our copyright claim will be sustained. You use and deploy such content at your own risk.
8.8 License Validation and Machine Binding
Both Platform products β the Code Kit CLI and the Desktop App β contain network communication mechanisms that you should be aware of. (1) License validation: on first use and approximately every 7 days thereafter, the product sends a license key and a machine identifier to https://www.buildthisnow.com/api/validate-license. The machine identifier is a one-way SHA-256 hash of your hostname, OS username, platform, and CPU architecture β not reversible to your identity. (2) Framework delivery: when you run `buildthisnow init` or `buildthisnow update`, the CLI makes a network request to a Build This Now server to download the framework files to your machine. This request includes your license key and machine fingerprint to verify your license. The server returns a signed download URL for the framework payload. The contents of that payload can be updated by Build This Now. Each install or update retrieves the current version at the time of the request. (3) No personal data, API keys, source code, file contents, project data, or user-generated content is transmitted to Build This Now as part of either process. (4) If the license validation server is unreachable, the product operates on a 7-day offline grace period. License data is cached locally at ~/.buildthisnow/ on your machine. By using a Platform product, you consent to these network communications.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Kairo Ventures, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Platform, whether based on warranty, contract, tort, or any other legal theory. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Kairo Ventures from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
11. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform. Continued use of the Platform after changes constitutes acceptance. We encourage you to review these Terms periodically.
12. Termination
We reserve the right to suspend or terminate your account at our sole discretion for violation of these Terms. Upon termination, you retain access to previously purchased kit content, but your right to use the Platform and purchase new kits is revoked.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the regulations applicable to the Dubai free zone in which Kairo Ventures is registered.
All disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
13.3 Mandatory Consumer Protections. Notwithstanding sections 13.1 and 13.2, if you are a consumer resident in the European Union, United Kingdom, or another jurisdiction whose mandatory consumer protection laws cannot be waived by contract, nothing in these Terms limits or excludes any right you have under those mandatory laws. The UAE governing law and jurisdiction clauses apply only to the extent permitted by the mandatory law of your jurisdiction of residence.
